不让法律天平失衡 ，让受骗者伤心

　　重庆涪陵港江水运公司被骗案的法律思考

　　日前,本媒体收到重庆涪陵港江水运有限公司(以下简称港江水运公司)的《情况反映》,称在2013年,弘扬房地产公司法定代表人及实际控制人张邯在朋友李飞的介绍下认识了港江水运公司大股东彭永明。2016年10月份,重庆弘扬房地产开发有限公司(以下简称“弘扬房地产公司”)在重庆市九龙坡区杨家坪开发的“万象雅居”项目主体工程完工,但无资金对其装修,张邯向港江水运公司彭永明借钱并愿意将“万象雅居”酒店的一部分出售用于酒店装修,由于以前二者曾经有过借钱关系,此次港江水运公司彭永明不愿意再借钱给张邯,但是可以考虑买酒店。张邯明知自已开发的“万象雅居”酒店项目还未取得预售许可、产权证和整体项目不能分零销售的规定,却故意隐瞒了事实真相。

　　现在还在烂尾状态的“万象雅居”酒店项目

　　在2016年12月5日,港江水运公司彭永明与张邯洽谈并以弘扬房地产公司的名义和港江水运公司签订了《购房协议》,港江水运公司出资2000万元作为购买弘扬房地产公司开发的“万象雅居” B栋酒店商业用房3000平方米的预付款,弘扬房地产开发有限公司在2018年6月30日前交付房屋。2016年12月6日,港江水运有限公司按约支付了2000万元的购房预付款到弘扬公司账户上。张邯拿到该2000万元购房预付款后,并未将这些钱用于酒店装修及经营,而是用来偿还个人借款或银行贷款、拖欠的工程款及补缴税款等,2000万元购房款瞬间消失得无影无踪,酒店项目至今仍处于2016年刚施工时的状态,成为重庆闹市中的烂尾楼。而这只是骗局的第一步。

　　紧接着,2017年3月,张邯预谋破产,并聘请了王怒涛为董事长助理专门负责准备公司破产事宜。2017年5月,张邯授意、安排自己人去告自己公司还钱,弘扬房地产公司在黄庆伟向渝中区法院起诉后迅速达成和解,张邯授意王怒涛协助黄庆伟于2017年6月22日申请破产,按照破产法规定该2000万元购房款资金必须在交易6个月以后才能够破产。2016年12月6日,港江水运有限公司按约支付了2000万元的购房预付款到弘扬公司账户上到重庆市第五中级人民法院于2017年7月20日作出受理破产重整的裁定书,张邯在时间上正好利用了法律的空子。从张邯预谋申请破产到法院成功宣布弘扬公司破产只有短短的几个月时间,足见张邯的社会活动能力之强大。

"We're trying to do what we feel is in the best interest of the students."Lower's move goes against the advice of national healthcare and education officials, though it has seen 456 coronavirus cases and 16 deaths so far, among the lowest totals in the nation, and reported fewer than five cases a day since April 19.
